McAfee is committed to maintaining our leadership in all aspects of corporate governance. Through the policies and practices that guide how we are governed, McAfee strives to meet and exceed the highest expectations for corporate performance. Since 2001, we have made systematic changes to our governance and business practices to ensure proper behavior at all times. At present, all members of our Board of Directors (except our Chairman and CEO) are independent directors. In addition, we are engaged in numerous initiatives to further our commitment to run our business with the highest corporate governance standards.

  • Ethical Business Practices

Commitment: Foster a culture of ethics and integrity emphasizing doing the right thing—the first time, every time.

We are proud of the significant steps that McAfee has taken to create a culture of ethics and governance around the globe. Through the McAfee Ethics First program, we provide employees at all levels with the tools and resources they need to make ethical decisions the first time, every time. Through a holistic approach, McAfee Ethics First consists of:

  • Hiring practices: hiring employees with the highest standards of integrity
  • Training: proactive education of all employees on ethics and related issues
  • Communications: sharing ethical best practices and lessons learned inside and outside the company
  • Auditing for effectiveness: continually assessing the state of our ethical culture

As a key component of the effectiveness of the program, we offer the McAfee Ethics First anonymous reporting hotline to employees, customers, distributors, resellers, and suppliers.

  • Internal Controls

Commitment: Enhance internal controls, eliminate material weaknesses, and ensure accurate, timely, and complete financial reporting.

McAfee is committed to a comprehensive program of internal controls across all business units and geographies. These essential checks and balances ensure that our internal financial and other transactions are processed correctly, accurately, and on a timely basis. Our strong system of internal controls allows us to publish to our shareholders and regulators financial statements that conform to US generally-accepted accounting principles (GAAP). In recent years, McAfee has created Global Audit Services, an experienced team of auditors whose primary mission is to monitor internal controls throughout the company.

  • Transparency

Commitment: Provide timely, transparent, consistent, and credible information to the investing public consistent with legal and regulatory requirements.
